EdÛcare AI Connector Terms & Conditions

These terms and conditions (“AI Connector Terms”) apply to Customer’s use of EdÛcare’s Model Context Protocol server (the “AI Connector”), as described below. All terms not defined herein have the meanings ascribed to them in the Master Services Agreement or other similar agreement executed between the parties to govern the use and provisioning of EdÛcare’s Services (the “Agreement”). Except as specifically stated herein, the Agreement shall continue in full force and effect and is supplemental to and incorporated herein by reference. For the avoidance of doubt, “Services” under the Agreement includes the AI Connector. If these AI Connector Terms conflict with any of the terms in the Agreement, these terms will control with respect to access to, and use of, the AI Connector.
By purchasing access to the AI Connector, Customer may utilize interoperability features authorized by EdÛcare through the AI Connector interface to allow Customer’s internal systems access to information that EdÛcare authorizes and makes available through the AI Connector (“AI Connector Output”) as specified in the relevant Order Form.
Subject to Customer’s compliance with the Agreement and these AI Connector Terms, EdÛcare grants Customer a non-exclusive, non-transferable, non-sublicensable license for the number of Users indicated in the Order Form to access the AI Connector and use the AI Connector Output during the relevant Subscription Period, solely for the internal business purpose of enhancing the search and recommendation of EdÛcare courses within Customer’s internal artificial intelligence system. As between Customer and EdÛcare, EdÛcare retains ownership of all AI Connector Output. Except for the rights expressly granted herein, no other rights, whether express or implied, are granted to Customer.
The parties agree that the Terms of Use in the Agreement includes the following: Customer and its Users shall not: (i) bulk download, transform, vectorize, or store the AI Connector Output; or (ii) use the AI Connector Output to train, fine-tune, or otherwise adapt any large language or artificial intelligence model.
Customer acknowledges that the AI Connector may integrate with or allow access to third-party applications, services, or content that are owned, controlled, or operated by Customer ("Third-Party Applications"). Customer agrees that it is solely responsible for any damages arising from the integration with or use of the Third-Party Applications.
Customer shall ensure that its systems, infrastructure, and technical environment meet or exceed the technical requirements set forth in EdÛcare’s technical specifications, integration guides, system requirements, and related materials as updated from time to time. Customer acknowledges that failure to meet such technical requirements may prevent or impair the successful integration with and access to the AI Connector.
Notwithstanding anything to the contrary, Customer is solely responsible for any liability that arises from any changes or modifications to the AI Connector Output made by Customer or its systems.
